User responsibilities
You are responsible for choosing what content is indexed, ensuring you have permission to process that content, protecting local access, and deciding which assistants or automations may connect to the local API.
Local API and integrations
Agent Memory exposes a local API intended for use on the user's machine. Do not index passwords, credentials, secrets, regulated personal information, confidential client material, or sensitive institutional documents unless authorised and protected.
Output and search results
Search results may be incomplete, stale, irrelevant, or affected by source quality. Users remain responsible for reviewing results before relying on them in professional or high-impact contexts.

Ownership
Agent Memory, including its source code, interface, installer, packaging, documentation, name, logo, and product design, is proprietary commercial software owned by so.design or its licensors.
License grant
Subject to a valid written agreement, subscription, purchase, trial approval, or other permission from so.design, authorised users receive a limited, revocable, non-exclusive, non-transferable license to install and use Agent Memory.
Restrictions
Redistribution, resale, hosting, white-labelling, reverse engineering, removal of notices, bundling with another product, or use to build a competing product requires written permission from so.design.
Reservation of rights
No ownership rights are transferred. All rights not expressly granted are reserved by so.design.

Runtime components
Agent Memory uses @xenova/transformers under Apache-2.0, Express under MIT, and CORS under MIT.
Desktop and packaging
Electron and Electron Builder are used under permissive open-source licenses for desktop and packaging workflows.
Model attribution
The default local embedding model is Xenova/all-MiniLM-L6-v2, an ONNX conversion of sentence-transformers/all-MiniLM-L6-v2. The declared model license is Apache-2.0.
Audit status
The current dependency audit found no GPL, AGPL, LGPL, or unknown-license runtime blockers. Third-party notices must be preserved in commercial distributions.
